Ademi LLP is investigating Outbrain (NASDAQ: OB) for possible breaches of fiduciary duty and other violations of law in its transaction with Teads.
Outbrain will be purchasing Teads for approximately $1 billion in cash and Outbrain newly issued shares. The transaction may be diluting unreasonably the holdings of Outbrain’s current shareholders, and the proxy statement may be materially false and misleading.
