Ademi LLP is investigating GRIID (Nasdaq: GRDI) for possible breaches of fiduciary duty and other violations of law in its transaction with CleanSpark.
The transaction agreement unreasonably limits competing transactions for GRIID by imposing a significant penalty if GRIID accepts a competing bid. GRIID insiders will receive substantial benefits as part of change of control arrangements.
